1. Agreement
By making a booking with Westbourne Associates Pte Ltd (“WA”, “the Company”, “we”, “us”), you enter into a legally binding agreement (the “Agreement”) between:
- The individual making the booking and all persons attending under that booking (together referred to as “you”, “your” or “Guest(s)”); and
- Westbourne Associates Pte Ltd.
By booking on behalf of one or more Guests, you confirm that you are authorised to accept these Terms & Conditions on behalf of each Guest.
We provide our services subject to this Agreement. Please read it carefully before making a booking. If you continue to use our website or services after changes are published, you will be deemed to have accepted the revised Agreement.
2. Definitions
- “Event” means any coaching session, workshop, facilitation, assessment debrief, programme, intensive or other service offered by WA.
- “Guest” means any individual attending an Event under a booking made by you.
- “Services” means all Events, coaching, facilitation, digital resources and related offerings provided by WA.
3. Bookings and Payment
A booking is not confirmed until you receive a confirmation email from us. We reserve the right to refuse bookings for any lawful reason.
Fees for Events or coaching sessions will be communicated to you in advance and must be paid in full, in the stated currency, at the time specified. In rare circumstances, prices may change due to unforeseen events; if this occurs, you will have the option to cancel and receive a refund.
Gift vouchers must be redeemed within twelve (12) months of the purchase date unless otherwise stated.
4. Cancellations and Changes
Cancellations made at least 10 days prior to an Event or coaching session will be refunded in full.
Cancellations or transfer requests made within two working days of the Event are non-refundable, except at our discretion in exceptional circumstances.
All cancellation requests must be submitted in writing to info@westbourneassociates.com.
5. Attendance and Conduct
You agree to arrive on time and behave respectfully during Events.
We reserve the right to refuse admission or require removal of any Guest whose behaviour is disruptive, unsafe, unlawful or in breach of venue rules. No refund will be issued in such circumstances.
Recording, photography or unauthorised use of materials during Events is prohibited unless explicitly approved in writing by WA.
6. Use of AI and Digital Tools
6.1 AI-Assisted Services
WA may use digital tools and artificial intelligence (AI) to support the delivery of Services, including but not limited to:
- Coaching preparation and reflection tools
- Engagement analysis and insights
- Personalised programme or resource recommendations
- Administrative, research or content-support tools
AI tools are used to support and enhance human-led coaching and facilitation and do not replace professional judgement.
6.2 Automated Outputs and Human Oversight
- AI-generated outputs are advisory only and should not be relied upon as professional, legal or commercial advice.
- WA maintains human oversight over Services and decisions.
- Where AI materially influences recommendations, you may request clarification or human review.
6.3 Client Responsibilities
You acknowledge that:
- Outcomes depend on your participation, judgement and application
- WA is not responsible for decisions made solely in reliance on AI-assisted insights
7. Data Protection and Privacy
WA processes personal data in accordance with the Personal Data Protection Act 2012 (Singapore).
Personal data may be collected and used for:
- Service delivery and communications
- Coaching, facilitation and programme administration
- Use of digital and AI-enabled tools (with appropriate consent)
All personal data is handled in accordance with our Privacy Policy, which forms part of this Agreement.
8. Intellectual Property
All materials, content, methodologies, frameworks and intellectual property provided by WA remain the sole property of the Company unless otherwise agreed in writing.
You may use materials for personal or internal business use only. Reproduction, distribution or commercial use without prior written consent is prohibited.
9. Limitation of Liability
Nothing in this Agreement limits liability for death or personal injury caused by negligence or where limitation is not permitted by law.
To the fullest extent permitted by law:
- WA’s total liability shall not exceed the fees paid by you for the relevant Service
- WA is not liable for indirect, consequential or economic losses
- Participation in Events and Services is at your own risk
10. Force Majeure
WA shall not be liable for failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, pandemics, government action, system failures, venue closures or supplier disruptions.
11. Third-Party Rights
A person who is not a party to this Agreement has no rights to enforce any of its terms.
12. Assignment
You may not assign, transfer or otherwise dispose of your rights or obligations under this Agreement without our prior written consent.
13. Severability
If any provision of this Agreement is found to be unlawful, invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14. No Waiver
Failure by WA to enforce any provision of this Agreement does not constitute a waiver of that provision or any other rights.
15. Governing Law and Jurisdiction
This Agreement is governed by the laws of Singapore, and the parties submit to the exclusive jurisdiction of the Singapore courts.
